LIMITED USE LABEL LICENSE AGREEMENT-1

(Parental Cell Lines, Virus Based Products, Vectors and Kits, wherein each product is either sold individually or as a combination product referred to herein as a “Product”)

This product is for in vitro use only and in no event can this Product be used in whole animals. The right to use or practice the inventions in the foregoing patents (including method of use claims) by using or propagating this Product is granted solely in connection with the use of appropriate Detection Reagents (protected under trade secret) purchased from DiscoverX Corporation or its authorized distributors.

The Product and associated components (collectively referred to as “Materials”) as purchased from DiscoverX are expressly restricted in their use. By purchasing and using the Materials, the purchaser agrees to comply with the following terms and conditions of this label license agreement and recognizes and agrees to such restrictions:

1) The Product is transferable within different sites of purchaser only but is not transferable to any third parties or Contract Research Organization (CRO) without explicit written permission from DiscoverX. Transfer to a third party site for any use will be permitted only upon written request by purchaser followed by subsequent written approval by DiscoverX.

2) The Detection Reagents contain or are based upon the proprietary and valuable know-how developed by DiscoverX, and the Detection Reagents have been optimized by DiscoverX to function more effectively with the Product. Purchaser will not analyze or reverse engineer the Materials nor have them analyzed on purchaser’s behalf.

3) In using the Product, purchaser will use Detection Reagents supplied by DiscoverX or an authorized DiscoverX distributor for the Materials.

4) The purchaser cannot sell or otherwise transfer the Product or associated components to a third party or use for commercial purposes. Commercial purposes means any activity by a party for consideration and may include, but is not limited to (1) use of the Product or associated components to provide a service, information or data to a third party and/or (2) resale of the Product or associated components, whether or not such Product or its components are resold for use in research.

If the purchaser is not willing to accept the limitations of this label license agreement and/or has any further questions regarding the rights conferred with purchase of the Product or Material, please contact us.

PathHunter®, KILR®, InCELL Hunter™ and InCELL Pulse™

(Target Specific Cell Lines and Cell Pools wherein each Product is either sold individually or as a combination product referred to herein as a “Product”)

This product is for in vitro use only and in no event can this Product be used in whole animals. This Product and its use is currently subject of pending U.S. and/or foreign patent applications. The right to use or practice the inventions by using or propagating this Product is granted solely in connection with the use of appropriate Detection Reagents (protected under trade secret) purchased from Eurofins DiscoverX Corporation or its authorized distributor (‘DiscoverX’).

By purchasing and using the Product, the purchaser agrees to comply with the following terms and conditions of this label license and recognizes and agrees to such restrictions:

1) The Product is transferable within different sites of purchaser only but is not transferable to any third parties or Contract Research Organization (CRO) without explicit written permission from DiscoverX. Transfer to a third party site for any use will be permitted only upon written request by purchaser followed by subsequent written approval by DiscoverX.

cAMP Hunter™, ChemiSCREEN™, ChemiBRITE™, and PrecisION®

(Cell Lines referred to herein as the “Product”)

The Product as purchased by the purchaser (the “Purchaser”) from Eurofins Discovery (the “Eurofins”) are expressly restricted in their use. By purchasing and using the Product, the Purchaser agrees to comply with the following terms and conditions of this license agreement (this “Agreement”).

1) By purchasing the Product, Eurofins hereby grants to the Purchaser, a royalty-free and non-exclusive license to use the Product for Research Purposes only, whether the Purchaser is an academic user or a for-profit entity. “Research Purposes” shall mean any biological research and development application or use, including without limitation, development, demonstrations, or validation of biological assays, life sciences and/or pharmaceutical research.

2) Purchaser agrees that the Product will be used by the Purchaser only and will not be transferred to any third party sites or a Contract Research Organization (CRO) without explicit written permission from Eurofins.

3) The Purchaser shall not analyze or reverse engineer the Product nor have them analyzed on Purchaser’s behalf.

4) The Purchaser cannot sell or otherwise transfer the Product to a third party or a CRO or use for Commercial Purposes. “Commercial Purposes” means any activity by Purchaser that may include, but is not limited to (a) operating a service business that uses the Product to develop information or data which is resold for research and development applications; (b) use of the Product in manufacturing; (c) use of the Product for therapeutic, diagnostic, or prophylactic purposes; or (d) resale of the Product, whether or not such Product are resold for use in research.

(Bioassay Kits are referred to herein as a “Product”)

This product is for in vitro use only and in no event can this Product be used in whole animals. The right to use or practice the inventions in the foregoing patents/patent applications (including method of use claims) by using this Product, is granted solely in connection with the use of appropriate Detection Reagents (protected under trade secret) provided with the Product.

The Product and associated Detection Reagents (collectively referred to as “Materials”) as purchased from DiscoverX is expressly restricted in its use. By purchasing and using the Materials, the purchaser agrees to comply with the following terms and conditions of this label license and recognizes and agrees to such restrictions:

1) Product cannot be further propagated.

2) The Detection Reagents contain or are based upon the proprietary and valuable know-how developed by DiscoverX, and the Detection Reagents have been optimized by DiscoverX to function more effectively with the Product. Purchaser will not analyze or reverse engineer the Materials nor have them analyzed on purchaser’s behalf.

3) In using the Product, purchaser will use Detection Reagents supplied by DiscoverX or an authorized DiscoverX distributor for the Materials.

LIMITED USE LABEL LICENSE AGREEMENT-4

Calcium No Wash Plus Assay (“Product”)

This Product is provided under an intellectual property license from Life Technologies Corporation. The transfer of this Product is conditioned on the buyer using the purchased Product solely in research conducted by the buyer where such research does not involve testing, analysis or screening services for any third party in return for compensation on a per test basis. The buyer cannot sell or otherwise transfer (a) this product (b) its components or (c) materials made using this Product or its components to a third party or otherwise use this Product or its components or materials made using this product or its components for Commercial Purposes. Commercial Purposes means any activity by a party for consideration and may include, but is not limited to: (1) use of the Product or its components in manufacturing; (2) use of the Product or its components to provide a service, information, or data to third parties; (3) use of the Product or its components for therapeutic, diagnostic or prophylactic purposes; (4) resale of the Product or its components, whether or not such Product or its components are resold for use in research.
